Terms of Service

These Terms of Service ("Terms") govern your access to and use of ElsaAi, the AI business assistant for trade businesses (the "Service"), provided by ElsaAi ("ElsaAi," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

ElsaAi is an AI agent that helps you run the back office of your business. It responds to your prompts by text, voice, and messaging, drafts communications and documents, organizes your schedule, and can perform tasks across the tools you connect. ElsaAi may add, change, or remove features over time.

2. Account Access and Responsibility

You are responsible for the accounts and connected services you use with ElsaAi, for keeping your credentials secure, and for all activity that occurs through your account. You must provide accurate information and promptly update it as needed. You must be at least 18 years old and able to enter into a binding contract to use the Service.

3. Permissions and Connected Services

When you connect a third-party service (for example accounting, calendar, CRM, website, or supplier accounts), you authorize ElsaAi to access and act within that service to perform the tasks you request. You represent that you have the right to connect those accounts and to grant ElsaAi the permissions needed. You can disconnect a service at any time, which may limit related functionality.

4. Prompts, Outputs, and Actions

You control what you ask ElsaAi to do. ElsaAi generates outputs and proposes actions based on your prompts and connected data. AI outputs may be inaccurate, incomplete, or unsuitable for a particular purpose, and you are responsible for reviewing them before you rely on or approve them.

5. Approval-Required Actions

For actions that send communications to third parties, move money, enter into commitments, or change your connected accounts, ElsaAi is designed to present a draft or summary for your approval before acting. When you approve an action, you authorize ElsaAi to carry it out on your behalf, and you are responsible for the results. You should not use the Service for actions you are not authorized or willing to take yourself.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any law or the rights of others, including sending unlawful or unsolicited messages;
  • Contact people without the permission or legal basis required to do so;
  • Upload or process content you do not have the right to use;
  • Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service;
  • Use the Service to build a competing product or to misrepresent AI-generated content.

7. SMS Terms and Consent

By providing your mobile phone number, verifying your account by text, texting ElsaAi, or otherwise opting in to receive messages from ElsaAi, you consent to receive SMS messages from ElsaAi for account verification, service notifications, support, and business assistant messages you request or approve. Consent to receive SMS messages is not a condition of purchase.

Message frequency varies based on your account activity, prompts, connected services, and the tasks you ask ElsaAi to perform. Message and data rates may apply. Reply STOP to opt out of ElsaAi SMS messages. Reply HELP for help, or contact support@elsaai.com. You may receive a final confirmation message after opting out.

If you ask ElsaAi to text your customers, employees, contractors, leads, or other contacts, you represent that you have all permissions, consents, and legal bases required to contact those recipients and to have ElsaAi send messages on your behalf. You are responsible for the content, timing, recipient list, and legal compliance of messages you request or approve.

ElsaAi does not share, sell, rent, or provide mobile phone numbers, SMS opt-in data, or messaging consent to third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for more detail.

8. Subscriptions and Payments

Paid features of the Service are offered on a subscription or other pricing basis described at sign-up. Unless stated otherwise, subscriptions renew automatically until cancelled, and fees are non-refundable except where required by law. We may change pricing on a going-forward basis with reasonable notice.

9. Third-Party Services

The Service works with third-party products and integrations that we do not control. Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy, or actions. Connecting a third-party service is at your own risk.

10. Software and License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business. You may not copy, modify, distribute, sell, or lease any part of the Service, except as expressly permitted.

11. Ownership

We and our licensors own all rights in the Service, including its software, models, and branding. As between you and ElsaAi, you retain your rights in the content you provide. You grant us the rights needed to process your content to operate and improve the Service, consistent with our Privacy Policy.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service or its AI outputs will be accurate, uninterrupted, or error-free.

13. Limitation of Liability

To the fullest extent permitted by law, ElsaAi will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the claim.

14. Indemnification

You agree to indemnify and hold ElsaAi harmless from claims, losses, and expenses arising from your use of the Service, your content, the actions you approve, or your violation of these Terms or applicable law.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will continue to apply.

16. General Terms

These Terms, together with our Privacy Policy, are the entire agreement between you and ElsaAi regarding the Service. If any provision is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

17. Dispute Resolution and Governing Law

These Terms are governed by the laws of the jurisdiction in which ElsaAi is established, without regard to conflict-of-laws rules. Any dispute relating to the Service will be resolved in the courts or agreed forum of that jurisdiction, unless applicable law provides otherwise.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update these Terms and provide additional notice where appropriate. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
